1. Introduction: Why Regulation Decides Everything

The first paper, Real-World Assets: What They Are and Why They're Changing Finance, explained what tokenized real-world assets are, why they matter and who builds them, and its Section 6 mapped the rules in force and the reforms in motion. This paper takes the next step. It asks how those rules apply to a project that issues, sells or operates a tokenized real-world asset, and what such a project has to settle before it can reach the investors and the capital it is built for.

Section 1 frames that question. It sets out what is at stake, how the rules have been changing, and how the rest of the paper is organized. The title's claim, that regulation decides everything, is a strong one, and this section treats it as a claim to test rather than a premise. The law settles who may issue, sell, buy and hold a token and what its holder owns, and Section 1.1 finds that legal clarity is necessary for scale but not sufficient.

How to Read This Paper

Three conventions hold throughout.

Dates. Every status in this paper is stated as of a date, given in each section's opening. Rules, proposals and counts change quickly, so a status in this paper always carries its date.

Our View. A page may close with a short box headed "Our View". It carries Protokol Innovation Labs' own assessment, reasoned only from facts already on that page. Everything outside the box is attributed to its source.

Not legal advice. This paper describes how laws and regulators treat tokenized assets. It is not a legal opinion for any jurisdiction, offering or transaction; see the paper's disclaimer.

What This Section Covers

1.1 The Stakes: RWA Markets Can't Scale Without Legal Clarity sets out what legal clarity means for a token, which large pools of capital apply legal tests, what unsettled answers have cost, what followed where answers arrived, and why legal clarity is necessary for scale but not sufficient.

1.2 From Patchwork to Framework: The Regulatory Shift Now Underway will trace how the rules for tokenized assets moved from a patchwork toward written frameworks.

1.3 How This Paper Is Structured and Why will explain the order of the sections that follow and how to use the compliance roadmap.
